  • Customers control their production data. Daily TimeCards does not claim ownership of customer timecards, project records, uploaded documents, or crew information.
  • Customers and users must have authority to provide, access, share, export, or transmit the information they use with Daily TimeCards.
  • Daily TimeCards is a production workflow service, not a payroll provider, employer of record, tax advisor, labor-law advisor, or permanent archival-storage service.
  • Customers remain responsible for reviewing production records and maintaining copies of information they must preserve for payroll, accounting, legal, studio, union, guild, or other production purposes.
  • Fees, payment timing, taxes, credits, and project-specific commercial terms are governed by the applicable invoice, project arrangement, order, or other agreed commercial terms.
  • Google Workspace and external API connections operate at the customer's direction. Copies delivered to customer-controlled or third-party systems are not automatically removed when Daily TimeCards records change or a project ends.
  • Daily TimeCards may suspend access for serious misuse, security risks, or unresolved payment or Terms violations, and does not guarantee uninterrupted service.
  • Disputes are subject to the notice, arbitration, Illinois law, liability, and claim-time limits described in the Full Terms below.

Full Terms of Use

These Terms of Use govern access to and use of Daily TimeCards, a production service of ACE Films LLC. By accepting these Terms, creating or administering a Daily TimeCards account or Project, or using the Services after acceptance is required, you agree to be bound by these Terms.

If you accept these Terms on behalf of a production company, production entity, studio, business, or other organization, you represent that you have authority to bind that organization. If you accept these Terms in your individual capacity, you represent that you have legal capacity to enter into this agreement. If you do not agree to these Terms, do not use the Services where acceptance is required.

Definitions

“Daily TimeCards” means the Daily TimeCards service operated by ACE Films LLC.

“Customer” means the production company, production entity, producer, company representative, account owner, or other authorized person or organization that establishes, authorizes, or pays for a Daily TimeCards commercial relationship or Project.

“User” means an authorized account holder, administrator, project user, crew member, public submitter, or other person who uses Daily TimeCards or a Daily TimeCards workflow.

“Project” means a production project configured within Daily TimeCards.

“Customer Production Data” means production, project, crew, timecard, submission, report, document, schedule, note, or related information submitted, uploaded, configured, collected, or processed through a Customer's Project.

“Services” means the Daily TimeCards website, application, project workflows, public forms, reporting, document handling, integrations, support, and related functionality made available by ACE Films LLC.

Use of the Services

Daily TimeCards is a web-based production workflow service designed for professional film and television production use, including crew time entry, departmental oversight, document handling, reporting, project administration, production communication, and customer-authorized integrations.

Customer and Users may use the Services only for authorized production and business purposes and in compliance with these Terms, applicable law, and any applicable written Customer agreement.

Account Access, Authentication, and Security

Users may sign in using supported authentication methods, including email/password, Google login, and Sign in with Apple. Users are responsible for maintaining control of the email address, login provider, device, and credentials associated with their Daily TimeCards access.

Access is limited to authorized Users, account holders, project administrators, project users, and other persons approved or invited for a specific account or Project. Users may not access, attempt to access, or use accounts, Projects, data, records, or administrative functions for which they are not authorized.

Customer is responsible for managing the Users it authorizes, assigning appropriate roles, removing access when appropriate, and notifying Daily TimeCards of suspected unauthorized access or security concerns relating to the Customer's account or Projects.

Customer Production Data Ownership and Limited License

Customer Production Data remains the Customer's data. Daily TimeCards does not claim ownership of Customer timecards, crew information, production documents, project records, reports, or other Customer Production Data.

Customer grants ACE Films LLC only the limited rights reasonably necessary to host, process, store, transmit, back up, display, organize, calculate, report, export, secure, support, and otherwise operate the Services and Customer-authorized integrations.

This limited operational permission does not transfer ownership of Customer Production Data to ACE Films LLC.

Customer Content, Uploaded Documents, and Authority

Customer and its Users are responsible for the legality, accuracy, appropriateness, permissions, confidentiality, and content of information and materials they submit, upload, configure, approve, export, share, or transmit through Daily TimeCards.

Customer and Users represent that they have the rights, permissions, consents, and other authority reasonably required to provide and use Customer Production Data through the Services, including information concerning crew members, employees, contractors, production personnel, or other persons.

Daily TimeCards stores, processes, and transmits Customer-provided materials as part of the Customer's production workflow. Daily TimeCards does not independently review, verify, approve, or endorse the contents of every uploaded document, submission, record, note, or other Customer-provided item.

Project document features may technically permit Customers or Users to provide documents containing personal or sensitive information. Customer and Users are responsible for deciding what information is authorized, appropriate, and reasonably necessary for the applicable production workflow. Users should not upload passwords, authentication secrets, private keys, or financial-account credentials.

Crew and Public Submitter Responsibility

A person who submits a timecard, document, amendment, note, form response, or other information through Daily TimeCards is responsible for the accuracy and authorization of that submission.

The applicable production or Customer remains responsible for reviewing submitted information and deciding how it will be used for production, payroll, accounting, employment, studio, union, guild, legal, or other business purposes.

Project Administrator Responsibilities

Project administrators are responsible for managing Project setup, Users, access permissions, crew or department information, configuration, submission settings, document settings, reports, exports, external integrations, and other Project-level controls available to them.

Project administrators are responsible for ensuring that only authorized personnel receive access to Project records and for reviewing timecard information, uploaded documents, amendments, reports, exports, connected services, and information used for production, payroll, accounting, or compliance workflows.

Project Lifecycle, Full Wrap, and Post-Project Access

Daily TimeCards Projects may move through production, post-shoot, review, Full Wrap, and other lifecycle states according to Project configuration and Daily TimeCards workflow rules. Lifecycle status may affect whether particular forms, uploads, amendments, administrative functions, or other Project features remain available.

Customer access becomes limited after Full Wrap and may later end in accordance with Daily TimeCards retention and access practices or the applicable Customer arrangement. Customers are responsible for downloading or exporting records they need before access ends. Daily TimeCards is a production workflow service and is not a permanent archival-storage service.

Customer Records, Backups, and Production Reliance

Customer is responsible for maintaining appropriate production records, backups, exports, and operational contingencies. Daily TimeCards should not be the Customer's sole copy of information that the Customer must preserve for legal, payroll, accounting, employment, studio, union, guild, insurance, audit, or other production purposes.

Customer is responsible for reviewing Daily TimeCards records before relying on them for material production, payroll, accounting, reporting, employment, union, guild, tax, or legal decisions.

Not a Payroll Provider or Professional Advisor

Daily TimeCards is a workflow, collection, reporting, document-handling, and record-support service. Daily TimeCards is not a payroll provider, payroll company, employer of record, labor-law advisor, tax advisor, union or guild compliance advisor, legal advisor, or wage-and-hour compliance service.

Daily TimeCards may collect, organize, display, calculate, summarize, export, or transmit time-related and production information. Production companies, payroll providers, accounting departments, employers, studios, unions or guilds, and other responsible parties determine employment status, payroll treatment, wages, overtime, meal penalties, union or guild compliance, tax treatment, official payroll submission, and payment obligations.

Google Drive and Google Sheets Integration

Daily TimeCards may allow authorized Customers or project administrators to connect Google Drive and Google Sheets for Project workflow purposes.

When enabled, Daily TimeCards may create, update, organize, and maintain project-specific Google Drive folders, department folders, uploaded-document folders, timecard spreadsheets, upload logs, file links, and related Project records within the Customer-controlled Google environment.

Customer is responsible for managing access to its own Google accounts, folders, Sheets, shared files, and customer-controlled archives. Once information is copied, created, or synchronized into a Customer-controlled Google environment, that copy is controlled through the Customer's Google environment. Deleting or changing corresponding information in Daily TimeCards does not automatically delete the Google copy, and the Google copy may remain after the Daily TimeCards Project ends unless the Customer removes it.

Google login and Google Workspace integration are separate functions. Google login is used for authentication. Google Drive and Google Sheets integration is used only when authorized for Project workflow purposes.

Customer-Directed External API Connections

Customer or an authorized project administrator may enable external API connections for a Project. When enabled, Daily TimeCards may transmit Customer-authorized Project information to the selected external application for the production, payroll, accounting, or other business purpose configured for that integration.

These transfers occur at the Customer's direction. Daily TimeCards does not provide external integration partners with direct write access to the Daily TimeCards database.

Once information is delivered to a Customer-selected external service, the external service's handling of the received copy is governed by the Customer's relationship with that provider and the provider's own terms, privacy practices, and security controls. Disabling a connection or deleting information from Daily TimeCards does not automatically delete copies already delivered to the external service.

Third-Party Services

Certain Daily TimeCards features depend on third-party hosting, authentication, security, payment, communication, cloud, or integration services. Third-party services may be subject to their own terms, privacy practices, availability, security controls, and technical limitations.

Daily TimeCards is not responsible for a third party's independent service, systems, policies, acts, omissions, or handling of information after information has been transferred to that third party at the Customer's direction, except to the extent responsibility cannot lawfully be excluded.

Acceptable Use

You agree not to:

  • use the Services for an unlawful, fraudulent, or unauthorized purpose;
  • access or attempt to access accounts, Projects, data, or systems without authorization;
  • share credentials or permit access in a manner that defeats assigned roles or permissions;
  • circumvent, disable, or interfere with authentication, access controls, security, or rate limits;
  • introduce malware, malicious code, destructive content, or intentionally harmful data;
  • conduct security testing, scanning, or probing without authorization from ACE Films LLC;
  • submit information you know is materially false or misleading;
  • provide confidential, personal, proprietary, or third-party information you are not authorized to provide;
  • use the Services to infringe intellectual-property, privacy, publicity, confidentiality, or other rights; or
  • use the Services in a manner that materially disrupts, burdens, damages, or interferes with the Services or other authorized users.

Feedback

Feedback submissions are voluntary. ACE Films LLC may use comments, ratings, suggestions, ideas, and other general feedback to operate, support, develop, and improve Daily TimeCards without compensation to the person providing the feedback.

This feedback right does not transfer ownership of Customer Production Data. Respondents should not include confidential production information, personal information about another person, or content they are not authorized to share in general product feedback.

Confidentiality and Production Information

Daily TimeCards may be used with production information, Project records, crew information, uploaded documents, schedules, reports, and other confidential or proprietary production materials.

Customers and Users are responsible for ensuring that they have authority to submit, upload, access, share, export, or transmit production information through Daily TimeCards. Daily TimeCards handles Customer Production Data in accordance with its Privacy Policy, applicable security controls, and any applicable written Customer agreement.

Data Processing Terms

Information about Daily TimeCards data-processing practices is available on the Data Processing Terms page. A separate data processing addendum or customer-specific data-processing agreement becomes binding only if separately agreed in writing by authorized parties.

If an executed data-processing agreement conflicts with these Terms on a matter specifically governed by that agreement, the executed data-processing agreement controls that matter.

Ownership and Intellectual Property

Daily TimeCards, including its software, design, structure, code, text, graphics, branding, logos, features, documentation, and related platform materials, is owned by ACE Films LLC or its licensors and is protected by applicable intellectual-property and other laws.

Except as expressly permitted through the Services or in writing, Users may not copy, reproduce, republish, distribute, modify, reverse engineer, create derivative works from, resell, sublicense, or otherwise exploit Daily TimeCards platform materials.

This section does not give ACE Films LLC ownership of Customer Production Data.

Fees, Billing, Taxes, and Project Changes

Fees and payment timing are governed by the applicable invoice, Project arrangement, order, subscription, or other agreed commercial terms. Unless otherwise stated in the applicable commercial terms, invoices are due upon receipt.

Daily TimeCards pricing may be project-based, recurring, or otherwise agreed with the Customer. Once a Project's pricing is confirmed, that confirmed pricing governs the applicable Project unless the parties agree otherwise. Additional confirmed shoot days, Project expansion, additional Services, or other agreed scope changes may result in additional charges under the applicable arrangement. Separate Projects are separately priced unless expressly agreed otherwise.

A Project wrapping earlier than expected, using fewer production days than anticipated, or otherwise reducing planned usage does not automatically create a refund or credit. Any cancellation, refund, credit, or special adjustment is governed by the applicable invoice, Project arrangement, order, or separately agreed commercial terms.

Customer is responsible for applicable sales, use, value-added, or similar transaction taxes that Daily TimeCards is legally required to charge or collect in connection with the Services, excluding taxes imposed on ACE Films LLC's net income.

Daily TimeCards may use an external payment processor, such as Stripe, to issue invoices, receive payments, maintain payment status, or process related billing information.

Nonpayment, Suspension, and Termination

Daily TimeCards may suspend or restrict access to an account, Project, or paid feature for overdue amounts after appropriate notice under the applicable commercial arrangement.

Daily TimeCards may suspend access immediately when reasonably necessary to address fraud, unlawful activity, serious abuse, material security risk, unauthorized access, threats to the Services or other users, or other conduct requiring prompt protective action.

For ordinary nonpayment or a curable violation of these Terms, Daily TimeCards may provide notice and a reasonable opportunity to cure before termination where appropriate. Termination may occur for unresolved, repeated, or serious violations, subject to any applicable Customer agreement and applicable law.

Suspension or termination of access does not automatically delete Customer Production Data, audit records, billing records, or other information retained in accordance with the Privacy Policy, Project lifecycle, Customer instructions, or applicable legal and business requirements.

Service Availability and Product Changes

Daily TimeCards aims to keep the Services available and operational but does not guarantee uninterrupted, error-free, or continuously available access. Maintenance, software updates, infrastructure failures, internet or telecommunications problems, cloud-provider outages, third-party-service failures, security events, and other circumstances may cause temporary interruption or degraded functionality.

Daily TimeCards may modify, improve, add, remove, or discontinue features and Services. Where reasonably practicable, Daily TimeCards will seek to avoid material disruption to already-paid active Projects when making material product changes.

Events Beyond Reasonable Control

To the extent permitted by law, Daily TimeCards is not responsible for delay, interruption, or failure caused by events beyond its reasonable control, including internet or telecommunications failures, hosting or cloud-provider outages, power failures, natural disasters, severe weather, fire, flood, labor disputes, civil disturbance, governmental action, widespread cyber incidents, failures of third-party infrastructure, or similar events that Daily TimeCards could not reasonably prevent.

Warranty Disclaimer

To the fullest extent permitted by law, the Services are provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

Daily TimeCards does not warrant that the Services will be uninterrupted, error-free, immune from data loss, compatible with every device or third-party service, or suitable for every Customer workflow. Daily TimeCards does not warrant the accuracy of Customer-entered information or that every calculation, transmission, export, report, integration, or third-party delivery will be free from error or interruption.

Limitation of Liability

To the fullest extent permitted by law, ACE Films LLC, Daily TimeCards, and their affiliates, officers, employees, contractors, agents, and representatives will not be liable for any indirect, incidental, special, exemplary, consequential, or punitive damages, or for lost profits, lost revenue, lost production opportunities, production interruption, loss of use, loss of goodwill, loss or corruption of data, substitute service costs, or similar losses arising out of or relating to the Services, Customer Production Data, third-party services, or these Terms, even if advised that such damages were possible.

For claims arising out of or relating to a specific Project, the aggregate liability of ACE Films LLC and Daily TimeCards will not exceed the lesser of: (a) the fees actually paid to Daily TimeCards for that Project; or (b) the fees actually paid by the Customer to Daily TimeCards during the twelve months immediately preceding the event giving rise to the claim.

For claims that cannot reasonably be attributed to a specific Project, aggregate liability will not exceed the fees actually paid by the Customer to Daily TimeCards during the twelve months immediately preceding the event giving rise to the claim. If no fees were paid for the applicable Services, the aggregate liability will not exceed the amount paid, if any, for those Services.

These limitations apply regardless of the legal theory asserted, including contract, warranty, negligence, tort, strict liability, or otherwise, except to the extent a limitation cannot lawfully be applied.

Customer Indemnification

To the fullest extent permitted by law, Customer agrees to indemnify, defend, and hold harmless ACE Films LLC, Daily TimeCards, and their officers, employees, contractors, agents, and representatives from third-party claims, liabilities, damages, losses, and reasonable costs arising from or relating to: Customer Production Data or other content provided by Customer or its Users; a lack of authority, permission, or required consent to provide or use that information; Customer or User misuse of the Services; unauthorized disclosure or transmission caused by Customer or its Users; infringement or violation of third-party rights by Customer-provided material; or Customer's or a User's material breach of these Terms or applicable law.

Daily TimeCards will provide reasonable notice of a covered third-party claim and reasonable cooperation at Customer's expense. Customer may not settle a claim in a manner that admits wrongdoing by or imposes an obligation on ACE Films LLC or Daily TimeCards without prior written consent.

Dispute Notice and Good-Faith Resolution

Before initiating arbitration or other permitted formal proceedings, the party asserting a dispute must provide written notice describing the dispute and requested relief. The parties will then make a good-faith effort to resolve the dispute directly for at least thirty days after the notice is received, unless immediate relief is reasonably necessary to prevent imminent harm or the parties agree to a different period.

Binding Arbitration; Individual Proceedings

Except for qualifying small-claims matters and requests for temporary or injunctive relief involving intellectual-property rights, unauthorized access, misuse of confidential information, or other circumstances where immediate equitable relief is appropriate, any dispute arising out of or relating to the Services, these Terms, or the parties' relationship will be resolved by confidential, binding arbitration administered by the American Arbitration Association under its applicable Commercial Arbitration Rules.

The Federal Arbitration Act governs the interpretation and enforcement of this arbitration agreement. Unless the parties agree otherwise, arbitration will be seated in Cook County, Illinois. The arbitrator may award relief available under applicable law that is consistent with these Terms, and the award may be entered as a judgment in any court of competent jurisdiction.

To the fullest extent permitted by law, disputes must be brought only in an individual capacity and not as a plaintiff or class member in any purported class, collective, consolidated, coordinated, or representative proceeding. The arbitrator may not combine claims of multiple Customers or Users unless all affected parties agree in writing.

Time Limit to Bring Claims

To the fullest extent permitted by applicable law, any claim or cause of action arising out of or relating to the Services, these Terms, or the parties' relationship must be commenced within one year after the claim or cause of action accrues. A claim not commenced within that period is waived and barred, unless a longer period is required by applicable law.

This one-year claim deadline is separate from the twelve-month fee lookback used to calculate the liability cap above.

Governing Law, Court Venue, and Jury Waiver

These Terms and any dispute not required to be arbitrated are governed by the laws of the State of Illinois, without regard to conflict-of-law principles.

Any court proceeding permitted under these Terms must be brought exclusively in the state courts located in Cook County, Illinois, or, when federal jurisdiction exists, the United States District Court for the Northern District of Illinois. Each party consents to the personal jurisdiction and venue of those courts.

To the fullest extent permitted by law, each party waives any right to a jury trial for a dispute that is permitted to proceed in court rather than arbitration.

Changes to These Terms

Daily TimeCards may update these Terms as the Services, integrations, commercial model, or legal requirements change. Updated Terms will be posted on this page with a revised date, and Daily TimeCards may provide additional notice through the Services or by email when appropriate.

When Daily TimeCards determines that a material change requires renewed acceptance, Users may be required to accept the current Terms before continuing applicable use of the Services. An older acceptance will not be treated as acceptance of a materially revised agreement where renewed acceptance is required.

General Contract Terms

Order of precedence. If a separately signed Customer agreement expressly conflicts with these Terms, the signed agreement controls to the extent of that conflict. An executed data-processing agreement controls matters it specifically governs. An applicable invoice, order, or Project arrangement controls Project-specific fees, payment timing, and commercial scope. These Terms govern otherwise.

Entire agreement. These Terms, together with applicable signed agreements, executed addenda, and agreed commercial terms, constitute the agreement between the parties concerning the Services covered by them and supersede prior understandings concerning the same subject matter.

Severability. If a provision is found unenforceable, it will be enforced to the maximum extent permitted and the remaining provisions will remain in effect.

No waiver. A failure or delay in enforcing a provision does not waive the right to enforce it later.

Assignment. Customer may not assign or transfer these Terms or a Customer agreement without prior written consent from ACE Films LLC, except as otherwise agreed in writing. ACE Films LLC may assign these Terms in connection with a merger, reorganization, financing, sale of substantially all relevant assets, or transfer of the Daily TimeCards business.

Independent parties. These Terms do not create a partnership, joint venture, employment, fiduciary, franchise, or agency relationship between Customer and ACE Films LLC.

No third-party beneficiaries. Except as expressly stated, these Terms do not create enforceable rights for any person or entity that is not a party to the applicable agreement.

Survival. Provisions that by their nature should survive suspension, termination, or expiration will survive, including provisions concerning fees, Customer Production Data responsibilities, ownership, confidentiality, indemnification, disclaimers, liability limits, dispute resolution, claim deadlines, and general contract terms.
